Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Artham platform operated by Orpheon Technologies Pvt. Ltd. ("us", "we", "our", "Company", or "Artham").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Definitions

• "Service" refers to the Artham platform, which provides a marketplace for users to discover and subscribe to investment portfolios created by SEBI registered investment advisors.
• "User" refers to any individual who accesses or uses the Service, including registered users and visitors.
• "Advisor" refers to SEBI registered investment advisors who create and manage investment portfolios on the platform.
• "Portfolio" refers to a collection of securities or investment products curated by an Advisor.
• "Subscription" refers to a User's paid access to a Portfolio.

2. Eligibility

To use our Service, you must be at least 18 years of age, have the legal capacity to enter into a binding agreement with us, and not be barred from using the Service under applicable law. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

3. Account Registration

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. SEBI Regulations and Compliance

Artham operates in compliance with the Securities and Exchange Board of India (Investment Advisers) Regulations, 2013, and other applicable SEBI regulations. All Advisors on our platform are required to be registered with SEBI as Investment Advisors and maintain their registration throughout their association with our platform.

Users acknowledge that while Artham verifies the SEBI registration status of Advisors, we do not guarantee or endorse the quality of advice provided by any Advisor. Users are encouraged to verify the credentials and track record of Advisors before subscribing to their Portfolios.

5. Investment Risks and Disclaimers

Investing in securities involves risks, including the risk of loss of principal. Past performance is not indicative of future returns.

The information provided on our platform is for informational purposes only and should not be construed as investment advice. Before making any investment decisions, Users should consider their financial situation, investment objectives, and risk tolerance.

Artham does not guarantee the accuracy, completeness, or timeliness of the information provided by Advisors. Users should conduct their own research and due diligence before making investment decisions.

6. Fees and Payments

Users agree to pay all fees associated with their Subscriptions. Fees are clearly disclosed before Subscription and may vary based on the Portfolio and Advisor.

All fees are exclusive of applicable taxes, which will be charged additionally as per the prevailing rates. Users are responsible for paying all taxes, levies, or duties imposed by tax authorities on their Subscriptions.

Refunds, if applicable, will be processed according to our Refund Policy, which is incorporated by reference into these Terms.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Orpheon Technologies Pvt. Ltd. and its licensors. The Service is protected by copyright, trademark, and other laws of India and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Orpheon Technologies Pvt. Ltd.

8. User Content

Users may post content, including reviews, comments, and feedback ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with the Service.

You represent and warrant that: (i) the User Content is yours or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

9. Prohibited Uses

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm the Company or users of the Service or expose them to liability.
• To attempt to gain unauthorized access to the Service or related systems.
• To use the Service for market manipulation or other fraudulent purposes.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

11. Limitation of Liability

In no event shall Orpheon Technologies Pvt. Ltd., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

12. Indemnification

You agree to defend, indemnify, and hold harmless Orpheon Technologies Pvt. Ltd., its directors, employees, partners, agents, suppliers, and affiliates, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
